Ares Capital is Making a $2.6 Billion Acquisition. Here’s What it Means for its 10%-Yielding Dividend.
Ares Capital (ARCC) agreed to acquire MidCap Financial (MFIC) in a $2.6 billion cash-and-stock deal, offering $10.88 per share, a 30.1% premium to MFIC's prior price.
The combination would expand ARCC's portfolio to more than $31 billion across 800-plus companies. Per the source, the merger is expected to lift ARCC's core earnings per share and add support for its dividend, which yields above 10%.
The deal carries risk. MFIC recently cut its dividend and has shown credit weaknesses, and ARCC would absorb that exposure. MFICL is also tied to the MFIC capital structure, so holders of that security should track how the transaction treats it.
Interpretation: a 30.1% premium on a cash-and-stock structure gives MFIC holders an immediate payout while tying part of the outcome to ARCC's share performance. Scale is the deal's core logic. A portfolio above $31 billion reinforces ARCC's position as a leading business development company, but the integration burden falls on how well ARCC underwrites MFIC's weaker credits.
