Fairfax Announces Completion of Kennedy Wilson Take-Private Transaction
Fairfax Financial Holdings (FFH) closed its take-private acquisition of Kennedy Wilson Holdings (KW) at $10.90 per share in cash, removing the real estate investment firm from public markets. The consortium deal leaves Kennedy Wilson CEO William McMorrow and other senior executives in operational control while Fairfax holds the majority economic stake.
The transaction was funded in part by a $1.3 billion term loan facility. The structure effectively shifts Kennedy Wilson's ownership to private hands while preserving existing management, a common arrangement in real estate take-privates where operational expertise remains critical to asset performance.
Kennedy Wilson shareholders received the $10.90 cash consideration, representing the exit price for public investors. Fairfax, a Toronto-based holding company with significant insurance and investment operations, now consolidates Kennedy Wilson's real estate portfolio—primarily U.S. and European multifamily and commercial properties—under its broader asset base.
