Fiserv Takes $6.45B Charge as Margins Shrink: Rapid Earnings Reaction
FISV booked a $6.45 billion non-cash goodwill write-down in Q3, producing a GAAP loss of $11.17 per share. The charge dominates the headline, but the operating numbers underneath deserve the closer look.
Adjusted earnings fell to $1.75 per share from $2.04 a year earlier, a decline of roughly 14%. Organic revenue came in flat, meaning the company is not growing its top line while profitability erodes. Merchant Solutions drove most of the operating profit decline, which points to that segment as the source of the margin pressure.
FISV maintained its full-year guidance despite the quarter. That choice shifts the burden to the fourth quarter: with costs rising and sales stalled, the company needs a strong finish to hit its targets. Interpretation: holding guidance after a flat-revenue, falling-earnings quarter leaves little room for error and raises the odds of a cut if Q4 disappoints.
The goodwill write-down is non-cash, so it does not directly change cash flow. It does signal that management has marked down the value of previously acquired assets, which traders may read as an admission that past deals are underperforming.
