Marvell Just Bet $115 Billion On AI's 'Once In A Generation' Opportunity. Should You Buy The Stock?
Marvell (MRVL) agreed to acquire optical-parts maker Lumentum (LITE) for roughly $115 billion in an all-stock deal, and the market's first verdict has been harsh: MRVL shares have dropped more than 20% since talks surfaced.
Deal terms: LITE shareholders receive 4.5 MRVL shares per LITE share, a 23.9% premium. Current MRVL holders will own about 67% of the combined company after closing, meaning roughly one-third of the merged entity goes to LITE holders. The transaction needs shareholder and regulatory approval and is not expected to close until the first half of 2028.
Management is pitching the long view. MRVL projects $70-90 billion in revenue and EPS above $30 by fiscal 2031. Those targets are the company's own, and they carry the weight of the thesis: the market is being asked to pay now for payoff years out.
Interpretation: a 20%-plus drawdown suggests investors are discounting execution risk and dilution from an all-stock structure, not rejecting the strategic logic outright. The nearly two-year runway to close leaves the deal exposed to shifting sentiment and regulatory scrutiny.
