TripAdvisor (TRIP) is selling TheFork, its European restaurant reservation platform, to American Express for $700 million in all-cash. The deal is set to close by the end of 2026.

TRIP shares climbed 4.35% following the announcement. The company plans to deploy proceeds toward share buybacks, debt reduction, or reinvestment in its experiences business, giving management flexibility on capital allocation.

TheFork operates in the European dining reservation market, a segment TripAdvisor is now exiting in favor of focusing on its core travel and experiences offerings. The $700 million price tag represents a clean exit from the restaurant platform business, allowing the company to redeploy capital into higher-priority segments.

Despite the post-announcement rally, analysts maintain a Hold rating on TRIP with an average price target of $14.22, suggesting limited upside from current levels in the eyes of the Street.
