Why Skydance Stock Fell 28.5% Today

SKYD plunged 28.5% on Wednesday, but the drop reflects a warrant dividend distribution rather than a fundamental selloff.

The company distributed warrants to Class B shareholders, one per share. Each warrant is exercisable at $12 per share and runs for 10 years. The warrants trade separately and carry an approximate combined value of $1.1 billion.

That figure matters for reading the price action. The stock's decline and the warrant value largely offset for eligible holders, so the 28.5% move does not represent actual value destruction for them. Think of it as a split of value across two instruments: the common stock took the hit on paper, while the warrants captured the difference.

The distribution was not universal. The Ellison family and RedBird Capital were excluded from the warrant dividend. Interpretation: because those two holders did not receive warrants, any price drop in their SKYD shares is not cushioned by a separate instrument, which makes their position different from other eligible shareholders.

For anyone screening movers, the 28.5% print will look like a collapse on a scanner. The context says otherwise: it is a mechanical repricing tied to a corporate action, not a reaction to earnings or news flow.
